Terms and Conditions ... End User License Agreement This License Agreement contains material limitations to your right to use this software. Please read it carefully and treat it as valuable property. IMPORTANT-READ CAREFULLY: This is a legally binding Agreement between you (either an individual or a single entity) and Anex Technologies Inc. (ANEX) for the use of any of AnexDock.Net, AnexTree.Net Org Chart, AnexTools Family of products, AnexTools.NET Family of products and AnexFontsPro Family of products, its component parts, associated media or printed materials, and any "online" or electronic documentation ("SOFTWARE PRODUCT" or "SOFTWARE"). By downloading this Software electronically or opening a physical software package for any purpose, you are agreeing to be bound by these terms and conditions, including the Software License and Disclaimer of Software warranty below. Please read this document carefully before downloading and trying or using the Software. If you do not agree with any of the terms and conditions of this Agreement, do not select "I agree" during an electronic download and the software will not be downloaded, or do not open the sealed software package. Software Product License The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as by other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed to you, not sold. ANEX own title, copyright, and other intellectual property rights in the SOFTWARE PRODUCT. Notwithstanding the copyright, the Software contains trade secrets and confidential information of ANEX which remains the property of ANEX. ANEX reserves all rights not expressly granted to you in this License. 1. LICENSE FEE. Individual Software license fee, unless otherwise stated, do not include installation charges, or any value added, sales, use or other taxes levied or based on license fees or on the licensing or use of Software, if applicable. All applicable taxes and other agreed charges are included in the invoice as a separate item, and you agree to pay them. 2. GRANT OF LICENSE AND SOFTWARE USE RESTRICTIONS; EVALUATION LICENSES. (a) RESTRICTED LICENSES Anex Technologies Inc. ("ANEX"), as owner of the Software, hereby grants you the Licensee a personal, non-transferable and non-exclusive right to either: (i) install, use and execute the Software on a single computer system (a "System") that contains only one central processing unit that can access the Software, OR (ii) incorporate the Software into your application for onward resale in such manner as will prevent the Software from being separately identified and extracted, OR (iii) create application software using the Software, including the trade secrets and confidential information contained " therein, and to incorporate in such application software in executable form those files identified in the User Guide " as "re-distributable files" (iv) make a copy of the Software solely for backup or archival purposes, or transfer the Software to a single hard disk provided you keep the original solely for backup or archival purposes. (v) resell the Software, without using the same, subject to these terms and conditions of license or their legal equivalent and subject to any express restrictions in the license terms of the Software product described in the Licensing Information on the Anex Web Site ( http://www.anextech.com ); together in each case with any additional rights granted in the license terms of the Software product described in the Licensing Information on the Anex Web Site. For the avoidance of doubt the rights set out in (i), (ii), (iii), (iv) or (v) above are mutually exclusive. You also undertake to adhere to all of the license terms and conditions issued with the Software product. You agree that you will not: (i) transfer to another source code, object code, or libraries derived from the Licensed Software, except those files identified as "re-distributable files"; OR (ii) decompile, reverse engineer, or disassemble the Licensed Software in whole or in part; OR (iii) create derivative works of the Software; OR (iv) include any of the Licensed Software files with any of your product that is generally competitive with Anex product offerings; OR (v) use the Software to create a product that is generally competitive with Anex product offerings; OR (vi) distribute, lease, transfer for profit, loan or otherwise convey the Software or any part of it to anyone. If you dispose of any media or apparatus containing the Software, you will ensure that you have completely erased or otherwise destroyed the Software contained or stored on them. (b) EVALUATION LICENSES Anex provides the demonstration versions of the Software at no charge to you, for evaluation purposes only. This evaluation Software is licensed to you with all the rights set out in Article 2(a) above, but with a limited license term, operability and/or functionality. You agree and acknowledge that Anex provides evaluation Software solely for demonstration purposes and not for long term use. (c) ACCESS LICENSE Information and data relating to the Software available from Anex or its resellers is provided solely for the purpose of giving you access to Software for evaluation or business use on the terms and conditions of this License Agreement. Amending, printing or other use of the Anex artwork or images, and the rental, lending, networking, resale, remote access, transmission or inclusion on a bulletin board of Anex artwork, images or content is strictly prohibited. 3. TERM; TERMINATION. The term of this Agreement will commence when you electronically download or receive the Software by any means and, unless terminated earlier as provided in this Article, will continue in perpetuity, subject to any limited subscription period in individual Software product license, and EXCEPT THAT the term of your license to use evaluation Software will be thirty (30) days or such other period as Anex designates at the time you download or Anex delivers the evaluation Software to you. If you fail to fulfill any of your material obligations under this Agreement, Anex may pursue, after providing written notice, all available legal remedies to enforce this Agreement, and Anex may, at any time after your default of this Agreement, terminate this Agreement and all licenses and rights granted to you under it. You further agree that, if Anex terminates this Agreement for your default, you will, within thirty (30) days after termination, deliver to Anex or render unusable all Software originally provided to you under this Agreement including any copies you have made. 4. OWNERSHIP OF SOFTWARE AND MEDIA. You agree and acknowledge that Anex transfers no ownership interest in the Software or part Software, or in the intellectual property (including but not limited to copyright) in the Software or in any Software copy, to you under this Agreement or otherwise, and that Anex as applicable reserve all rights not expressly granted to you in this License Agreement. In the case of CD-ROM or other media-based of the Software, after you pay any applicable initial license fees, and after you have signified your agreement to these terms and conditions, title to the CD or other media will pass to you, but Anex as applicable will retain ownership and copyright of all Software on the CD or other media and of all copies you make of all or part of any Software, at all terms and for all purposes. 5. TRANSFER RESTRICTIONS. If you transfer ownership or control of any System containing the Software, you may transfer the Software and all licenses and rights in the Software granted to you under this Agreement to the transferee provided that: (a) the transferee agrees in writing to accept the terms and conditions of this Agreement. (b) you provide name and address details of the transferee to Anex and, (c) you also transfer all Software, including all copies, to the transferee. Except as provided in this Article, you may not sublicense, transfer or assign this Agreement or any of your rights or obligations under this Agreement, in whole or in part. 6. LIMITED SOFTWARE WARRANTY AND DISCLAIMERS. (a) Anex owned Software. ANEX warrants to you that the Software will substantially conform to the applicable Anex specification in effect at the date of delivery for a period of three calendar months. Anex will respond to your calls and to use all reasonable endeavors to correct reported problems by supplying you with a corrected version of the Software. ANEX does not warrant that: (i). Operation of its Software will be uninterrupted or error free, or that any defects in the Software are correctable or will be corrected; OR (ii). That functions contained in its Software will operate in the combinations which may be selected for use by you to meet your requirements. Anex's warranty obligations will be void if its Software is modified without prior written consent of Anex. (b) CD or Other Media. Anex warrants that any CD or other media provided to you under this Agreement is free from defects in materials and workmanship under normal use for a period of three calendar months from date of supply. If you return a defective CD or other media to Anex during the warranty period with proof of purchase, Anex will, at its sole option, either replace the defective CD or other media or refund the purchase price for it. This warranty will not apply to any media that has been damaged by abuse, act of God, accident or misuse. (c ) Viruses. Anex warrants that it has used all reasonable efforts to ensure that all Anex content and all Software is free from all publicized viruses known to exist on the date of supply. In the event that such a known and publicized virus is discovered and reported to Anex by you within one calendar month of the date of supply, Anex will at your option replace the affected Software or, if applicable, the CD or other media containing the Software or refund the purchase price for the same. IT IS YOUR RESPONSIBILITY TO CHECK FOR VIRUSES BEFORE USING ANY SOFTWARE AND ANEX DISCLAIMS ANY OTHER OR FURTHER LIABILITIES TO YOU FOR ANY VIRUS-CAUSED DAMAGE. ANEX SHALL INDEMINIFY LICENSEE FOR ANY DAMAGES ARISING FROM THIRD PARTY CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT. EXCEPT FOR THE EXPRESS WARRANTIES STATED ABOVE, ANEX DISCLAIMS AND EXCLUDES ALL OTHER WARRANTIES WHETHER EXPRESS OR IMPLIED IN LAW OR OTHERWISE TO THE FULLEST EXTENT PERMITTED BY LAW, AND THE ABOVE WARRANTIES ARE IN LIEU OF ALL OBLIGATIONS AND LIABILITIES ON THE PART OF ANEX FOR DAMAGES ARISING OUT OF OR IN CONNECTION WITH SOFWARE, OR YOUR USE OF SOFTWARE OR ANY CD OR OTHER MEDIA, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY OR FITTNESS FOR A PARTICULAR PURPOSE. 7. LIMITATION OF LIABILITY. IN NO EVENT WILL ANEX BE LIABLE TO YOU FOR ANY SPECIAL, PUNITIVE, EXEMPLARY, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION THE COST OF INSURANCE COVER, DAMAGES ARISING FROM LOSS OF DATA, USE, PROFITS, OPPORTUNITY OR GOODWILL, OR PROPERTY DAMAGE), WHETHER OR NOT ANEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, HOWEVER CAUSED AND ON ANY THEORY OR LIABILITY ARISING OUT OF THIS LICENSE AGREEMENT. THESE LIMITATIONS WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. ANEX'S DIRECT LIABILITY FOR BREACH OF CONTRACT ARISING OUT OF THIS SOFTWARE LICENSE AGREEMENT AND/OR YOUR USE OR POSSESSION OF PARTICULAR SOFTWARE, INCLUDING WITHOUT LIMITATION ANY AND ALL CLAIMS COMBINED, WILL NOT EXCEED THE AMOUNT OF THE LICENSE FEE CHARGED BY ANEX FOR THAT SOFTWARE. 8. DISCLAIMER LICENSE FEES FOR THE SOFTWARE DO NOT INCLUDE ANY CONSIDERATIONS FOR ASSUMPTIONS OF RISK BY ANEX, AND ANEX DISCLAIMS ANY AND ALL LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR OPERATION OR INABILITY TO USE THE SOFTWARE, EVEN IF ANY OF THESE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. FURTHERMORE, LICENSEE SHALL NOT ASSERT A CLAIM BASED ON SUCH DAMAGES. THE LICENSEE ASSUMES THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE LICENSED SOFTWARE. THE WARRANTIES EXPRESSED IN THIS LICENSE ARE THE ONLY WARRANTIES MADE BY ANEX AND ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. THIS WARRANTY GIVES YOU SPECIFIED LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF WARRANTIES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. If you are using an EVALUATION VERSION, THIS LICENSE IS FURTHER RESTRICTED as follows: You are granted a License to use the SOFTWARE for a period of thirty (30) days counted from the day of installation (the "EVALUATION PERIOD"); and upon completion of the EVALUATION PERIOD, you shall either: (a). delete the SOFTWARE and the DOCUMENTATION from the computer, or (b). contact Anex or one of its authorized dealers to purchase a license of the SOFTWARE, which is subject to the terms and limitations contained herein. LIMITATION OF LIABILITY. IN NO EVENT WILL ANEX BE LIABLE TO YOU FOR ANY SPECIAL, PUNITIVE, EXEMPLARY, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION THE COST OF INSURANCE COVER, DAMAGES ARISING FROM LOSS OF DATA, USE, PROFITS, OPPORTUNITY OR GOODWILL, OR PROPERTY DAMAGE), WHETHER OR NOT ANEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, HOWEVER CAUSED AND ON ANY THEORY OR LIABILITY ARISING OUT OF THIS LICENSE AGREEMENT. DISCLAIMER LICENSE FEES FOR THE SOFTWARE DO NOT INCLUDE ANY CONSIDERATIONS FOR ASSUMPTIONS OF RISK BY ANEX, AND ANEX DISCLAIMS ANY AND ALL LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR OPERATION OR INABILITY TO USE THE SOFTWARE, EVEN IF ANY OF THESE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. FURTHERMORE, LICENSEE SHALL NOT ASSERT A CLAIM BASED ON SUCH DAMAGES. THE LICENSEE ASSUMES THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE LICENSED SOFTWARE.
